1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Centina Pty Ltd ("Centina", "we", "us", or "our") governing your access to and use of the Centina platform, including our website, AI-powered quoting services, and related features.

By accessing or using our platform, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the platform.

2. Eligibility

To use Centina, you must be at least 18 years old and have the legal capacity to enter into a binding contract. If you are using the platform on behalf of a business, you represent and warrant that you have the authority to bind that business to these Terms. The platform is intended for use by trade businesses operating in Australia.

3. Account Registration

To access certain features of the platform, you must register for an account. When registering, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security and confidentiality of your login credentials
• Notify us immediately of any unauthorized access to your account
• Accept responsibility for all activities that occur under your account

4. Subscription and Payment

4.1 Subscription Fees

Access to Centina requires a paid subscription. The current subscription fee is $89 AUD per month, plus AI usage costs. Subscription fees are billed monthly in advance and are non-refundable except as expressly stated in these Terms.

4.2 AI Usage Costs

In addition to the subscription fee, you will be charged for AI usage based on the number of chat interactions processed by our AI system. Current rates are approximately $0.02-$0.10 per interaction, depending on complexity. You can monitor your usage and set spending limits in your dashboard.

4.3 Free Trial

New users may be eligible for a 14-day free trial, which includes $5 AUD in AI credits. At the end of the trial period, your subscription will automatically convert to a paid subscription unless you cancel before the trial ends.

4.4 Payment Processing

All payments are processed securely through Stripe. By providing payment information, you authorize us to charge your payment method for all fees incurred. You are responsible for providing accurate billing information and updating it as needed.

5. Acceptable Use

You agree to use the platform only for lawful purposes and in accordance with these Terms. You agree NOT to:

• Use the platform for any illegal or unauthorized purpose
• Violate any applicable laws or regulations
• Infringe on the intellectual property rights of others
• Transmit any harmful code, viruses, or malicious software
• Attempt to gain unauthorized access to our systems or other users' accounts
• Interfere with or disrupt the platform or servers
• Use automated systems to access the platform without our permission
• Misrepresent your identity or affiliation with any person or entity
• Use the AI chat system to generate fraudulent or deceptive quotes

6. Intellectual Property

6.1 Our Intellectual Property

The Centina platform, including all content, features, and functionality, is owned by Centina and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission.

6.2 Your Content

You retain ownership of all content you submit to the platform, including rate libraries, client data, and quote information. By submitting content, you grant us a limited license to use, store, and process that content solely for the purpose of providing and improving our services.

7. AI-Generated Content

Our platform uses AI technology to assist in generating quotes and facilitating conversations with potential clients. You acknowledge and agree that:

• AI-generated quotes are estimates based on the information provided and your rate library
• You are responsible for reviewing and approving all quotes before sending to clients
• We do not guarantee the accuracy or completeness of AI-generated content
• You remain solely responsible for all quotes and business agreements with your clients

8. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability and fitness for a particular purpose
• Warranties that the platform will be uninterrupted, secure, or error-free
• Warranties regarding the accuracy or reliability of any information obtained through the platform

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CENTINA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE PLATFORM. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify, defend, and hold harmless Centina and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your access to or use of the platform, your violation of these Terms, or your violation of any rights of another.

11. Termination

We may terminate or suspend your account and access to the platform immediately, without prior notice or liability, for any reason, including if you breach these Terms.

You may cancel your subscription at any time through your account settings or by contacting support. Upon cancellation, your access will continue until the end of your current billing period. We offer a 30-day money-back guarantee for first-time subscribers.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of New South Wales, Australia, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of New South Wales, Australia.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of any material changes by posting the updated Terms on the platform and updating the "Last updated" date. Your continued use of the platform after such changes constitutes your acceptance of the new Terms.
